These Terms & Conditions (“Terms”) apply to all quotations, sales, and supply of goods or services by Axiom Scientific Ltd (“Axiom”, “we”, “our”) to the customer (“you”, “the Buyer”). By placing an order, you agree to be bound by these Terms unless alternative terms have been expressly agreed in writing by Axiom Scientific Ltd.

1. Validity of Quotation

1.1 Quotations issued by Axiom are valid for 30 days unless stated otherwise.
1.2 Prices, specifications, and availability may change after the validity period.

2. Prices & Taxes

2.1 All prices exclude VAT, delivery, duties, and any applicable taxes unless stated.
2.2 VAT will be charged at the prevailing rate on the date of invoice.
2.3 Any additional costs arising from changes requested by the Buyer may be charged accordingly.

3. Orders & Acceptance

3.1 An order is deemed accepted only when Axiom issues written confirmation.
3.2 The Buyer is responsible for ensuring that all order details, specifications, and quantities are correct.
3.3 No order may be cancelled without Axiom’s written agreement, and cancellation charges may apply.

4. Payment Terms

4.1 Payment terms are as stated on the quotation or invoice.
4.2 Goods will only be released upon receipt of cleared funds unless otherwise agreed in writing.
4.3 Late payments may incur interest in accordance with the UK Late Payment of Commercial Debts Regulations.
4.4 The Buyer may not withhold or offset payments for any reason unless agreed by Axiom.

5. Delivery & Lead Times

5.1 Delivery dates and lead times are provided in good faith but cannot be guaranteed.
5.2 Risk of loss or damage passes to the Buyer upon delivery to the agreed location.
5.3 Any damage, loss, or discrepancy must be reported to Axiom within 48 hours of delivery.

6. Title & Ownership

6.1 Title to goods remains with Axiom Scientific Ltd until full payment has been received.
6.2 Until title passes, the Buyer must store goods safely and ensure they remain identifiable as Axiom property.

7. Warranty

7.1 Goods are supplied with the manufacturer’s standard warranty unless otherwise stated.
7.2 Warranty does not cover misuse, incorrect installation, unauthorised repairs, or consumable items.
7.3 Axiom will support warranty claims but is not liable for any decision made by the manufacturer regarding repair or replacement.

8. Returns & Non-Conformance

8.1 Returns will only be accepted with prior written authorisation from Axiom.
8.2 Returned goods must be in original packaging and suitable for resale.
8.3 Goods deemed faulty or non-conforming will be inspected before credit or replacement is issued.

9. Liability

9.1 Axiom shall not be liable for indirect, incidental, or consequential loss, including but not limited to loss of profit, business interruption, or data loss.
9.2 Axiom’s total liability shall not exceed the value of the goods or services supplied.
9.3 Nothing in these Terms excludes liability for death or personal injury caused by negligence.

10. Intellectual Property

10.1 All intellectual property rights relating to documents, images, data, or materials provided by Axiom remain the property of Axiom or the manufacturer.
10.2 The Buyer may not reproduce or distribute such materials without permission.

11. Bank Details & Fraud Prevention

11.1 Axiom’s bank details will never be changed during a transaction without direct written confirmation from a company director.
11.2 The Buyer must verify bank details with Axiom before making any payment.
11.3 Axiom accepts no responsibility for payments sent to incorrect or fraudulent accounts.

12. Governing Law

12.1 These Terms are governed by the laws of Scotland

12.2 Any disputes arising shall be subject to the exclusive jurisdiction of the Scottish courts unless agreed otherwise in writing.

13. Acceptance of Terms

13.1 By placing an order, the Buyer confirms acceptance of these Terms and agrees that they supersede any terms issued by the Buyer unless explicitly accepted by Axiom in writing.
